Project Description

Client is commissioning Producer to produce an eight episode podcast series with light editing for each episode. Each episode will follow the same core format and visual structure, featuring Michael Ely as the host and one on-camera guest each session. 

 

Production will be captured using a 3 camera setup with live editing a controlled lighting setup designed for clear instructional delivery and efficient digital distribution.

 

  • Scope of Services

Producer agrees to provide the following services:

Pre-Production
• Production scheduling coordination
• Technical planning and shot design

Production
Up to eight podcast studio sessions with a two-person crew:
• Camera Operator
• Sound Mixer / Technical Director

Includes:
• Standard lighting package
• Three-camera setup
• Primary and backup audio capture

 

Sessions can be scheduled back to back, with no less than 90 minutes reserved on a given day, and no more than 6 sessions in one day, with a 1 hour lunch break for the crew after the third session. 

 

Post-Production
This package includes Light Editing for each episode, intended for content that is largely complete and does not require editorial shaping. This service is for projects with a target run time of less than 30 minutes. Services include:

  • Basic trimming to meet target run time
  • Title card insertion (provided by Client)
  • End credits creation
  • On-screen name and title graphics (lower thirds)

 

This package assumes that total raw footage is no more than forty (40) minutes and does not include content restructuring, scene selection, or creative editing.

 

Client Review (Technical Adjustments Only)

Client may submit one (1) round of feedback limited to technical corrections, including:

  • Spelling or text corrections
  • Lower third/title adjustments
  • Minor timing fixes (e.g., extending or shortening an existing cut point slightly)

 

This review does not include:

  • Recutting scenes
  • Removing or replacing segments of content
  • Changing the structure, pacing, or sequencing
  • Selecting alternate takes

 

Requests beyond these adjustments will require an upgraded editing package or additional fees.

Payment Schedule

Payment shall be made in three installments: 

  • First installment ($375) due upon signing this MOU and confirming production dates (no later than first day of production). This payment reserves studio space and authorizes commencement of pre-production planning.
  • Second installment ($375) due on April 28, 2026. 
  • Final installment: ($362.50) due upon delivery of completed episodes following final review and the agreed revision round.

Final master files will not be released until payment is received in full.

 

Cancellation and Rescheduling Policy

Because studio time, crew scheduling, and production resources are secured in advance, all scheduled dates are considered part of a reserved production block and are unavailable to other clients.

 

A. Studio Reservation Fee

Upon booking, a non-refundable studio reservation fee of $75 per reserved production day (4 days = $300 total) is required. This fee compensates for holding studio availability and coordinating crew and scheduling.

All remaining fees are subject to the schedule below.

 

B. Schedule Changes & Cancelations

Client may request changes to scheduled session dates under the following conditions:

  • Seven (7) or more days’ notice:
    Producer will make reasonable efforts to accommodate changes at no additional cost, provided:
    • Rescheduled dates occur no later than seven (7) calendar days after the end of the original production window (ending May 12, 2026), and
    • Studio and crew availability permits.

Accommodation is not guaranteed.

 

Between seven (7) days and seventy-two (72) hours’ notice:
Changes may be accommodated at Producer’s discretion. A nonrefundable rescheduling fee of $50 per new date will apply. 

  • As a one-time courtesy, Client may reschedule one (1) filming date within this window without the rescheduling fee.
  • Less than seventy-two (72) hours’ notice:
  • Session is considered forfeited and billed in full. Rescheduling will require booking and payment for an additional session, as all reserved time is considered committed and unavailable to other clients.

 

C. Schedule Integrity
Because crew and studio time have been reserved and other work has been declined to accommodate this production block, repeated schedule changes may result in loss of scheduling priority or limited availability for rescheduled sessions.

 

D. Minimum Session Requirement
Each session requires a minimum reservation of ninety (90) minutes at a rate of $75 per hour. This rate includes studio use and two (2) crew members.
