MEMORANDUM OF UNDERSTANDING
Project: Tapia LIVE
Studio Production—Live Edit and Stream Only
This Memorandum of Understanding (“MOU”) is entered into by and between Katharsis Media (“Producer”) and Tapia Boxing Academy (“Client”) for live event production and livestream services for a single boxing event currently scheduled for May 30, 2026 (“Production”).
 
1. Project Description
Client is commissioning Producer to provide professional live event production, livestream, and live-to-tape recording services for a single boxing event.
This agreement is for a Studio Production Model — Live Edit and Streaming Only, meaning the event will be professionally captured and livestreamed with a live edit performed during production. This agreement does not include post-production editing services.
 
Tapia Boxing Academy shall own the production outright and is hiring Katharsis Media solely to provide production and livestream services.
 
2. Scope of Services
Producer agrees to provide the following services:
 
Pre-Production
Production scheduling coordination
Technical planning and shot design
Graphics creation including:
Opening Title screen and end credits
Lower thirds creation (information provided by Client)
Scorecard animation and live graphic preparation
 
Production:
Production shall be captured using a professional multi-camera cinema workflow, including:
 
Crew
Producing Director
Technical Director
Director of Photography / Camera Operator
Five (5) Additional Camera Operators
Sound Mixer
Sound / Production Assistant
Technical Package
Dual Canon C70 and Canon C300 cinema cameras
Six-camera dynamic setup
Live switching and live-to-tape recording
Primary and backup audio capture
Live graphics, lower thirds, and scorecards
 
Deliverables
Live event livestream and live edit
Recorded master of the event (“live-to-tape”)
Raw footage provided upon request, with hard drive supplied by Client
This agreement does not include post-production editing, highlight packages, promotional edits, color correction, or additional deliverables unless separately contracted in writing.
 
3. Ownership and Usage Rights
Tapia Boxing Academy shall retain 100% ownership of the final production and all associated rights in perpetuity.
 
Katharsis Media retains a non-exclusive, perpetual right to edit, excerpt, and display portions of the production for the following purposes:
Social media and promotional marketing
Website and portfolio use
Film festivals and award submissions
Demonstration of production services
Such usage rights shall not interfere with Client’s ownership of the production.
 
4. Billing and Credits
Billing shall equally display both Tapia Boxing Academy and Katharsis Media.
Producer may determine internal production credits.
 
5. Project Fees
Client agrees to pay Producer a total fee of: $6,374.32
 
Production Budget Breakdown
Equipment Rentals: $1,737.18
Production Crew Labor: $3,246.14
Pre-Production Graphics / Prep: $1,200.00
Administrative Costs: $191.00
 
6. Payment Terms
Payment shall be made through Katharsis Media’s online payment portal using the payment link provided by Producer.
 
Payment schedule shall be as follows:
Initial Payment (50%)
$3,187.16 due upon signing of this MOU to reserve production date, crew, and technical resources.
 
Final Payment (50%)
$3,187.16 due no later than Wednesday, June 3, 2026.
Because crew, equipment, and technical resources are secured in advance, production dates are not considered confirmed until the initial payment is received.
 
7. Footage Retention and Release
Producer shall retain possession and control of all recorded footage, including raw footage, recorded masters, and any associated production files, until the project balance has been paid in full. Producer reserves the right to withhold delivery, transfer, release, or access to any footage or files until payment is received in full.
