MEMORANDUM OF UNDERSTANDING

BRYANT JOHNSON and KATHARSIS MEDIA INC.
For Editing Services on “Unscripted Reality” and “Salad Bowl America”
This Memorandum of Understanding (MOU) is entered into by and between Bryant Johnson (“Producer”) and Katharsis Media, a New Mexico-based media company (“Editor”), collectively referred to as “the Parties,” effective as of the date of the last signature below.
1. Purpose
This MOU outlines the terms and scope of editing services to be provided by Katharsis Media for segments of the television series “Unscripted Reality” and “Salad Bowl America.”
2. Scope of Work
Katharsis Media will provide light editing services on footage that has already been live edited. This includes:
Cutting recordings for time and to remove long pauses, hesitations, or technical disruptions
Adding title cards, end credits, and lower thirds
Optional inclusion of soundtrack music where appropriate
Delivering finalized episodes as close to 28 or 56 minutes as the original footage allows. If the footage is under 28 minutes, the editor will preserve as much content as possible to create the longest possible version.
Multi-camera syncing and audio syncing are not included and are expected to have been completed during the original live editing process.
3. Payment Terms
Each episode will be edited at a flat rate of $50 per episode, paid up front. 
4. Revisions
This package does not include revisions. However, light revisions may be completed at the editor’s discretion at no additional charge. If further edits are requested beyond the scope of the initial agreement, a separate quote will be issued for the additional work.
5. Credits
The following crediting agreements will apply:
Candice Neu will be credited as Executive Producer in all episodes and on IMDb.
Katharsis Media will be credited as the Production Company in collaboration with Salad Bowl America.
Bryant Johnson and Candice Neu will both be credited as Producers.
The editor of each episode will receive Editor credit.
Any Katharsis Media staff who assist with the project will receive on-screen and IMDb credits as appropriate.
Bryant Johnson will receive “Created by” credit.
Additional credits may be assigned at the discretion of Bryant Johnson based on contributions made.
6. General Provisions
This MOU does not constitute a legal partnership or employment agreement. It serves to document the mutual understanding between the Parties for the limited purpose described herein.
 
Modifications to this MOU must be made in writing and signed by both Parties.
